1. Company Information & Service Overview

Wisdom Link AI Limited operates EduQ AI, an AI-powered educational platform that offers:

• AI-powered tutoring and learning assistance (powered by SambaNova technology)
• Educational content analysis and Q&A capabilities
• Progress tracking and learning analytics
• Document processing and educational resource suggestions
• Subscription-based premium features and services

2. Account Requirements

• You must be at least 13 years old to create an account
• Users under 18 require parental/guardian consent
• Educational institutions must designate authorized administrators
• You are responsible for maintaining account security and confidentiality

3. Acceptable Use Policy & Prohibited Activities

a. Prohibited Uses

You agree NOT to use the Service for:

• Illegal Activities: Any unlawful purpose or activity prohibited by applicable laws
• Academic Dishonesty: Cheating, plagiarism, or violation of academic integrity policies
• Harmful Content: Creating, sharing, or requesting content that is harmful, illegal, or inappropriate for children
• System Abuse: Attempting to hack, reverse engineer, circumvent, or exploit the AI system or any system vulnerabilities
• Automated Access: Using bots, scrapers, automated tools, or scripts to interact with the Service without prior written consent
• Credential Sharing: Sharing account credentials with unauthorized persons or allowing others to access your account
• Intellectual Property Infringement: Uploading, sharing, or distributing content that infringes the intellectual property rights of any third party
• Unauthorized Data Access: Attempting to access, query, or extract data belonging to other users of the Service
• Commercial Misuse: Reselling, redistributing, or commercializing our services without permission
• Impersonation: Pretending to be another person, entity, or EduQ AI representative
• Spam or Abuse: Sending spam, harassment, or abusive content to other users or our systems

b. AI-Specific Prohibited Uses

• Attempting to manipulate AI responses for harmful or inappropriate content
• Using AI to generate content that violates laws, regulations, or ethical standards
• Attempting to extract, reverse engineer, replicate, or circumvent the AI system or its underlying models
• Using AI responses to harm, deceive, or mislead others
• Excessive or abusive AI querying that impacts service performance

c. Account Responsibilities

• Maintain accurate and up-to-date account information
• Keep login credentials secure and confidential
• Take responsibility for all activities under your account
• Notify us immediately of any unauthorized account access
• Comply with age restrictions and parental consent requirements

4. Intellectual Property Rights

a. Our Content

All EduQ AI platform elements, service interfaces, and proprietary content are owned by Wisdom Link AI Limited or its licensors, protected by international intellectual property laws. This includes but not limited to:

• EduQ AI branding, logos, and trademarks
• Platform design, user interface, and functionality
• Proprietary algorithms and service implementations
• Educational content and learning materials
• Documentation and user guides

b. Your Content

You retain ownership of materials you submit but grant Wisdom Link AI Limited a worldwide, royalty-free, perpetual, irrevocable license to:

• Process and analyze for EduQ AI service operation
• Generate anonymized aggregate insights for service enhancement
• Store, reproduce, and distribute as necessary for service provision

Note: This license survives account termination and is necessary for service operation.

c. AI-Generated Content License

AI-generated content provided to you through the Service is licensed to you for personal, non-commercial educational use only. You may not reproduce, distribute, sell, sublicense, or create derivative works from AI-generated content for commercial purposes. Wisdom Link AI Limited retains all rights, title, and interest in and to the underlying AI system, algorithms, models, and training data used to generate such content.

5. AI Service Terms & SambaNova Integration

a. AI Technology Provider

• AI responses are generated by SambaNova's artificial intelligence models
• Wisdom Link AI Limited operates EduQ AI as a service interface, not the AI technology creator
• SambaNova's terms and limitations also apply to AI interactions
• AI model behavior and responses are not under Wisdom Link AI Limited's direct control

b. AI Content Limitations & Disclaimers

• No Accuracy Guarantee: AI-generated content may contain errors, inaccuracies, or outdated information
• Educational Purpose Only: AI responses are for learning assistance, not definitive academic answers
• User Verification Required: Users must independently verify all AI-generated information
• No Professional Advice: AI responses do not constitute professional, medical, legal, or financial advice
• Content Appropriateness: AI may occasionally generate inappropriate or biased content despite filtering

c. User Responsibilities for AI Usage

• Use AI features responsibly and for educational purposes only
• Do not rely solely on AI-generated content for critical decisions
• Report inappropriate or harmful AI responses immediately
• Understand that AI responses are generated based on training data and may not reflect current information
• Accept full responsibility for how you use and apply AI-generated content

d. AI Monitoring & Quality Control

• AI conversations may be monitored for quality improvement and safety
• We implement content filtering but cannot guarantee complete prevention of inappropriate content
• User interactions with AI may be logged for service improvement
• Wisdom Link AI Limited reserves the right to restrict AI access for users who misuse the service

6. Service Modifications & Availability

• We may modify or discontinue features at any time
• Downtime may occur for maintenance or upgrades
• We don't guarantee uninterrupted or error-free service

7. Termination & Account Deletion

• We may suspend or terminate accounts for violations
• Educational institutions may manage student account access
• Termination doesn't affect accrued rights or obligations

8. COMPREHENSIVE LIABILITY LIMITATIONS & DISCLAIMERS

a. Complete Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WISDOM LINK AI LIMITED EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY: No guarantee the service meets your needs
• FITNESS FOR PARTICULAR PURPOSE: No guarantee of suitability for educational goals
• NON-INFRINGEMENT: No guarantee content doesn't violate third-party rights
• ACCURACY: No guarantee of correct, complete, or current information
• RELIABILITY: No guarantee of uninterrupted or error-free operation
• SECURITY: No guarantee against data breaches or unauthorized access
• RESULTS: No guarantee of academic improvement or learning outcomes

b. Maximum Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WISDOM LINK AI LIMITED SHALL NOT BE LIABLE FOR:

• ANY DIRECT DAMAGES exceeding the amount paid by you in the 12 months preceding the claim
• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES of any kind
• LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
• ACADEMIC PERFORMANCE, GRADES, OR EDUCATIONAL OUTCOMES
• RELIANCE ON AI-GENERATED CONTENT OR ADVICE
• DECISIONS MADE BASED ON SERVICE CONTENT
• THIRD-PARTY ACTIONS OR CONTENT
• SERVICE INTERRUPTIONS, ERRORS, OR SECURITY BREACHES
• PERSONAL INJURY OR PROPERTY DAMAGE arising from service use

c. AI-Specific Liability Limitations

d. Maximum Liability Cap

IN NO EVENT SHALL WISDOM LINK AI LIMITED'S TOTAL LIABILITY TO YOU EXCEED:

• The total amount paid by you to Wisdom Link AI Limited in the 12 months preceding the claim, OR
• $100 USD, whichever is LESS

This limitation applies regardless of the legal theory of liability and even if Wisdom Link AI Limited has been advised of the possibility of such damages.

9. USER INDEMNIFICATION OBLIGATIONS

a. General Indemnification

You agree to INDEMNIFY, DEFEND, AND HOLD HARMLESS Wisdom Link AI Limited, its officers, directors, employees, agents, and affiliates from and against ALL claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

• Your use or misuse of the EduQ AI service
• Your violation of these Terms of Service
• Your violation of any applicable laws or regulations
• Your content or materials submitted to the service
• Your reliance on AI-generated content or advice
• Academic consequences resulting from service use
• Third-party claims related to your account or activities
• Infringement claims related to your use of the service

b. AI-Specific Indemnification

You specifically agree to indemnify Wisdom Link AI Limited for:

• Academic dishonesty or plagiarism involving AI-generated content
• Decisions made based on AI responses or recommendations
• Inappropriate AI usage or attempts to manipulate AI responses
• Claims by educational institutions related to AI usage
• Professional or career consequences from AI-generated advice
• Third-party claims related to AI-generated content

c. Defense Obligations

Your indemnification obligations include:

• Immediate notification to Wisdom Link AI Limited of any claims
• Full cooperation in defense of any claims
• Payment of all costs including legal fees and settlements
• No settlement without Wisdom Link AI Limited's written consent
• Assumption of control of defense if requested by Wisdom Link AI Limited

10. MANDATORY ARBITRATION & DISPUTE RESOLUTION

a. Governing Law

• These Terms are governed by the laws of the Republic of Singapore
• Singapore courts have exclusive jurisdiction for any disputes not subject to arbitration
• We comply with applicable local regulations in all jurisdictions we operate
• No conflict of laws principles shall apply

b. Mandatory Arbitration

ALL DISPUTES arising from or relating to these Terms or the service must be resolved through BINDING ARBITRATION, except for:

• Claims for injunctive or other equitable relief to protect intellectual property rights or data security
• Small claims court actions under applicable jurisdictional limits

c. Arbitration Rules

• Individual arbitration only — no class actions or representative proceedings
• Arbitration conducted under the rules of the Singapore International Arbitration Centre (SIAC)
• English language proceedings in Singapore
• Single arbitrator appointed by SIAC
• Costs borne by losing party including arbitrator fees and legal costs

d. Class Action Waiver

You expressly waive the right to:

• Participate in class actions or representative proceedings
• Jury trial for any disputes
• Consolidate claims with other users
• Public court proceedings except as noted above

e. Injunctive Relief

Notwithstanding the arbitration requirement above, Wisdom Link AI Limited reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, confidential information, or in response to actual or threatened data security breaches, without waiving its right to arbitration for all other disputes.

f. Severability

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions of these Terms shall continue in full force and effect. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision.

11. Language & Authoritative Version

These Terms of Service are drafted in English, which is the sole authoritative and legally binding version. Translations of these Terms into other languages are provided for convenience only and have no legal effect. In the event of any conflict, inconsistency, or discrepancy between the English version and any translation, the English version shall prevail in all respects.

12. Policy Updates & Modifications

Wisdom Link AI Limited reserves the right to modify these Terms at any time with or without notice. Changes become effective immediately upon posting.

• Continued use constitutes acceptance of all changes
• No obligation to provide advance notice of changes
• Your responsibility to review Terms regularly
• Material changes may be communicated via email or platform notice
